Health service personnel, institutions, and enterprises open online service agreements

This agreement is made by legal entities (hereinafter referred to as "certified health service personnel, institutions, and enterprises") who agree and undertake to comply with the provisions of this agreement by using the Hongjingkangyuan Health Platform (hereinafter referred to as "Hongjingkangyuan") for consultation and opening online service platforms.

1、 Definition

1. Service Platform: Refers to the Hongjing Kangyuan Health Platform.

2. Certified health service personnel, institutions, and enterprise service personnel: refers to qualified health service personnel, institutions, and enterprise service personnel who agree and promise to comply with the provisions of this agreement to provide consulting services to users using the service platform.

3. Service: Refers to certified health service personnel, institutions, and enterprise service personnel providing health and medical consultation, science popularization knowledge dissemination, etc. to service platform users through this agreement service platform.

4. Service backend account: refers to the personal, institutional, and corporate real name account used by certified health service personnel, institutions, and enterprise service personnel on the service platform to receive consultation and services.

5. Account: A personal, institutional, or corporate real name WeChat and bank account used to receive service fees on the service platform.

2、 Agreement content and effective time

1. The content of this agreement includes the main text of the agreement and all rules that have been published or may be published by the service platform in the future. All rules are an integral part of the agreement and have the same legal effect as the main text of the agreement. Hongjingkang Yuanda Health Platform will formulate special rules for the service platform (hereinafter referred to as "special rules"). In case of any conflict between the special rules and other rules of the service platform, the special rules shall prevail.

2. Certified health service personnel, institutions, and enterprise service personnel promise to accept and comply with the relevant rules and regulations while using the services provided by the service platform. Hongjingkang Yuanda Health Platform has the right to modify this agreement or various rules as needed. If there are any changes to this agreement, Hongjingkang Yuanda Health Platform will notify certified health service personnel, institutions, and enterprise service personnel in the form of public notice on the service platform. If certified health service personnel, institutions, and enterprise service personnel do not agree with the relevant changes, this agreement must be terminated immediately by written notice. Any revisions and new rules shall automatically take effect upon publication on the service platform and become a part of this agreement. Logging in or continuing to use the service will indicate that certified health service personnel, institutions, and enterprise service personnel accept the revised agreement. Unless otherwise explicitly stated, any new content that expands the scope of services or enhances functionality is subject to the constraints of this agreement.

3. The signing or online acceptance of this agreement by certified health service personnel, institutions, and enterprise service personnel does not result in the immediate effectiveness of this agreement. Upon approval by the Hongjingkang Yuan Health Platform and the issuance of a service activation notice to the certified health service personnel, institutions, and enterprise service personnel, this agreement shall have legal effect between the certified health service personnel, institutions, and enterprise service personnel and the Hongjingkang Yuan Health Platform upon their first login. This agreement does not involve any legal relationships or disputes arising from online transactions between certified health service personnel, institutional and corporate service personnel, and other users of the service platform.

4. Hongjingkang Yuanda Health Platform has the right to adjust the assessment standards for certified health service personnel, institutions, and enterprise service personnel at any time according to business needs.

3、 Submission of supporting documents

1. Proof document submission: Certified health service personnel, institutions, and enterprise service personnel who wish to use the services under this agreement must submit relevant proof of the information they provided when applying for the services to the Hongjing Kangyuan Health Platform. The specific proof information is as follows:

① Physician qualification certificate or professional health service personnel qualification certificate;

② Physician title certificate (to be provided by the person displaying the title on the platform);

③ Personal ID photo (or clear profile picture);

④ Other information that Hongjingkang Yuanda Health Platform deems necessary for verification;

Institutions and enterprises must provide a 'business license'.

All documents shall be submitted as attachments to this agreement.

2. Notice of Information Changes: During the term of this agreement, any changes to the above information (including relevant supporting documents) shall be promptly notified to the Hongjingkang Yuan Health Platform by certified health service personnel, institutions, and enterprise service personnel. If the above information changes and the certified health service personnel, institutions, and enterprise service personnel are no longer able to fulfill this agreement, the Hongjingkang Yuan Health Platform has the right to immediately suspend or terminate this agreement.

3. Responsibility clause: Certified health service personnel, institutions, and enterprise service personnel agree to bear full responsibility for their failure to notify or update their information in a timely manner. Certified health service personnel, institutions, and enterprise service personnel guarantee that all certification documents provided to the Hongjingkangyuan Health Platform are true, accurate, and do not exceed the time limit (i.e. ensure that all certification documents are valid throughout the entire contract performance period). If disputes or penalties are imposed by relevant national regulatory authorities due to the above reasons, certified health service personnel, institutions, and enterprise service personnel shall independently bear all responsibilities.

4、 Application requirements and registration

1. Certified Health Service Personnel, Institutions, and Enterprise Service Personnel Qualifications:

Certified health service personnel, institutions, and enterprise service personnel applying to use the service must simultaneously meet the following conditions:

A. Certified health service personnel, institutions, and enterprise service personnel should be natural persons, institutions, and enterprises with full capacity for civil rights and full capacity for civil conduct when completing registration procedures or actually using service platforms;

B. Holding the "Practicing Physician Qualification Certificate" of the People's Republic of China or a nationally recognized professional consultant qualification certificate;

C. Submitted the relevant supporting documents as stipulated in Article 3 of this agreement and obtained recognition from the Hongjingkang Yuan Big Health Platform;

D. If certified health service personnel, institutions, and enterprise service personnel do not possess the aforementioned subject qualifications, they shall bear all consequences arising therefrom, and Hongjingkang Yuanda Health Platform has the right to cancel (permanently freeze) the service platform qualifications of health service personnel, institutions, and enterprise service personnel.

2. Service platform account:

Certified health service personnel, institutions, and enterprise service personnel should be responsible for the security of their service platform accounts and passwords. Unless there are legal provisions or judicial rulings, and with the consent of Hongjingkang Yuanda Health Platform, the account shall not be transferred, gifted or inherited in any way. In the subsequent use process, certified health service personnel, institutions, and enterprise service personnel should update their information in a timely manner to make it true, timely, complete, and accurate.

5、 Termination of the Agreement

1. Notice of termination: Either party to the agreement may terminate this agreement by giving three days' prior notice.

2. The occurrence or realization of other termination conditions stipulated in this agreement shall result in the termination of this agreement.

3. If certified health service personnel, institutions, and enterprise service personnel make extreme remarks on the Hongjingkang Yuanda Health Platform service platform or if Party A believes that there is a violation of the professional ethics of medical ethics service personnel, Hongjingkang Yuanda Health Platform has the right to unilaterally terminate the agreement.

6、 Agreement Term

The trade secrets referred to in this agreement include but are not limited to the contents described in this agreement, any supplementary agreements, and other confidential information involved in the cooperation process. Neither party shall disclose, disseminate, edit or display this information to any third party without the consent of the trade secret provider. The parties to this agreement undertake to maintain the confidentiality obligations under this clause even after the termination of this agreement, and the confidentiality period will continue for an additional three years.

7、 Limited Liability

In any case, the Hongjingkang Yuan Health Platform shall not be liable for any inability or delay in service caused by Internet connection failure, computer, communication or other system failure, power failure, strike, labor dispute, riot, uprising, disorder, insufficient productivity or means of production, fire, flood, wind storm, explosion, force majeure, war, government action, international or domestic court orders or third-party inaction.

8、 Dispute Resolution and Others

The interpretation and application of this agreement, as well as any disputes related to this agreement, shall be handled in accordance with the laws of the People's Republic of China.
